Esrap Odoo Module Licence Terms

These terms apply to the licence to use Esrap Odoo add-on modules. Last updated on 14.05.2026


1. Purpose and Scope

These licence terms describe the terms under which the customer may use Esrap's standard Odoo add-on modules that Esrap sells as separate products through the e-commerce store, an offer, or another sales channel.
These terms apply when the customer purchases, orders, installs, or uses an Esrap Odoo add-on module for which these licence terms are referenced in the e-commerce store, offer, invoice, or other agreement.

These terms do not apply to customer-specific custom developments, customisations, or add-on modules created during a customer project if the parties have agreed that the rights belong to the customer or that their right of use, ownership, or further handling is governed by a separate agreement.

If a separate written agreement exists with the customer, that agreement prevails in case of conflict.


2. Definitions

Module means Esrap's standard Odoo add-on module that Esrap sells or licenses as a separate product and for which these licence terms are referenced in the e-commerce store, offer, invoice, or other agreement.
Customer means the legal or natural person to whom Esrap grants the right to use the module.
Licence means the limited right granted to the customer to use the module within the scope described in these terms.
Production environment means the Odoo environment used for the customer's live business operations.
Test environment means a development, test, staging, or other non-production environment used for testing, updating, or backing up the module.
Source code means the technical code, files, and other components through which the module operates.
Customer-specific custom development means a customisation, integration, add-on module, or other software solution created during a customer project for a specific customer need and whose right of use, ownership, or further handling is governed by a separate agreement.
Development plan means Esrap's internal or customer-shared product and development plan under which Esrap decides the module's next fixes, improvements, supported Odoo versions, and possible new features. The development plan is not a binding delivery or timeline commitment unless the parties have separately agreed to this in writing.


3. Ownership and Intellectual Property

The copyright, source code, documentation, technical solutions, business logic, and other intellectual property in the module belong to Esrap or the relevant rights holder. The customer does not receive ownership of the module or intellectual property rights in the module, but only a limited right to use it within the scope described in these terms.

All rights not expressly granted to the customer under these terms remain with Esrap or the relevant rights holder.


4. Grant of Licence

Unless stated otherwise in the order or a separate agreement, Esrap grants the customer a non-exclusive, non-transferable licence limited to using the module in the customer's own internal business processes.

The licence applies to one customer or an agreed user within the same customer organisation and to one production environment. The customer may also use the module in a reasonable number of test environments where this is necessary for testing, backup, updates, or ensuring the reliability of the production environment.


5. Perpetual Licence and Supported Odoo Versions

Unless stated otherwise in the order or a separate agreement, the customer receives a perpetual licence to use the Esrap Odoo add-on module.

A perpetual licence means that the customer may use the purchased module without a fixed end date within the scope permitted by these licence terms. The licence does not end solely because the module-related maintenance service ends or is not ordered.

The module licence applies to the Odoo versions for which the module has been released, documented, or confirmed in writing by Esrap as supported. The licence does not require Esrap to ensure compatibility with all future Odoo versions.

Adapting, migrating, or ensuring compatibility of the module with a new Odoo version is not included in the perpetual licence fee. Esrap may add support for a new Odoo version under its development plan, but this licence does not require Esrap to do so by a specific deadline or for every future Odoo version.

If the customer needs the module to be adapted, migrated, or made compatible with a new Odoo version outside Esrap's general development plan, this is handled under a separate agreement, maintenance service, or development project if Esrap offers such work.


6. Permitted Use

The customer may use the module in its own internal business processes and within the scope for which the module was purchased or ordered. The customer may:
- install and use the module in the agreed Odoo environment;
- use the module in the customer's own workflows;
- create technically necessary backup copies;
- use the module in a test environment to a reasonable extent where this supports production use.


7. Prohibited Use

Without Esrap's prior written consent, the customer must not:
- sell, rent, distribute, publish, transfer, or sublicense the module;
- make the module available to third parties as a separate service or product;
- publish the module source code in a public repository or otherwise disclose it to third parties;
- remove or change copyright, origin, or licence notices included in the module;
- use the module to create a competing product or service;
- attempt to bypass the module's licence, security, or usage restrictions.


8. Changes and Customisation

The customer may modify and customise the module source code for its own internal use, provided this remains within the permitted scope of use under these licence terms. Such changes do not give the customer the right to resell, distribute, sublicense, or make the module available to third parties.

If the customer or a third party modifies the module, the customer is responsible for the effect of those changes. Esrap is not responsible for bugs, security risks, compatibility issues, data loss, maintenance needs, or failed updates arising from changes made by the customer or a third party.

Analysis, repair, maintenance, updating, migration, or restoration of compatibility for a module modified by the customer or a third party is not included in the licence fee and may require a separate agreement or paid work.

Customer-requested customisations, integrations, or custom development are agreed as separate work and are not included in the licence fee unless otherwise agreed in writing.


9. Third-Party Software and Odoo Dependency

The module operates on the Odoo platform and may depend on Odoo standard functionality, Odoo Enterprise applications, third-party modules, external services, or the customer's technical environment. The Esrap module licence does not include licences or fees for Odoo, Odoo Enterprise, third-party software, hosting, domains, payment services, delivery services, or other external services.

The customer is responsible for having and maintaining the required Odoo licences, environment, access rights, and third-party services.


10. Fees and Payment

The module licence fee, payment terms, and billing method are set out in the e-commerce order, offer, invoice, or separate agreement. If the customer does not pay the licence fee or related invoices on time, Esrap may suspend delivery of the module, access to updates, support, or other related services until the overdue amount has been paid.

Payment of the licence fee does not give the customer ownership of the module or the right to redistribute it unless such right has been granted separately in writing.


11. Maintenance, Support, and Updates

The licence does not automatically include maintenance service, user support, SLA, bug fixes, improvements, custom development, or compatibility with future Odoo versions. These services apply only if the customer has ordered them separately or if they are included in the specific offer.

If the customer orders module-related maintenance service, the Esrap Odoo Module Maintenance Service Terms apply to that service.


12. Data and Confidentiality

The module licence does not automatically give Esrap access to the customer's data or the right to use it. If Esrap needs access to the customer's Odoo environment for support, maintenance, development, or bug analysis, this is handled under a separate agreement, maintenance terms, or privacy terms.

The customer and Esrap treat each other's trade secrets and confidential information in good faith and only for the agreed purpose.


13. Liability Limits

The module is provided for use with the scope and functionality described in the order, documentation, offer, or module description. Esrap is not responsible for issues arising from Odoo standard functionality, Odoo version changes, third-party modules or services, the customer's technical environment, customer-made changes, or use of the module outside the permitted scope.

To the extent permitted by applicable law, Esrap is not liable for loss of profit, business interruption, data loss, indirect damage, or third-party claims, unless liability follows from a mandatory legal provision.


14. Termination of Licence

The perpetual licence remains valid without a fixed end date, but Esrap may terminate the licence or suspend the right to use it if the customer materially breaches these terms, fails to pay the licence fee, or uses the module in a prohibited manner.

Upon termination of the licence, the customer must stop using the module and remove it from production and test environments, unless the parties agree otherwise in writing or the customer has another valid right of use.


15. Changes to the Terms

Esrap may update these licence terms from time to time. The new version is published on the same page together with the update date. Material terms of already granted licences are changed according to the specific agreement and applicable law.
